Foundation for Health Care Continuums

GOVERNANCE
The Foundation for Health Care Continuums is a nonprofit corporation described
in Section 501(c)(3) of the Internal Revenue Code of 1986 and is exempt from
federal income taxation.
The management and direction of the business of the Foundation for Health Care
Continuums is vested in its Board of Directors. The terms of office and
qualification of the directors are set forth in the Continuums Group’s Bylaws.
The current members of the Board of Directors have worked together for
charitable organizations focused on senior living for over fifteen years.
Michael P. Rosen – President
Mr. Rosen has thirty years of professional experience in health care
administration, multi-hospital system planning, business development and health
care legislation, regulation and reimbursement. Rosen also served fifteen years
as President and CEO of the Long Term Care Foundation, a nonprofit organization
with over 1,000 nursing home and assisted living beds.
Rosen currently serves as Chief Executive Officer for Hospice of New York, a
hospice serving New York and Nassau County. Prior to joining Hospice of New
York, Rosen was General Partner in American Hospice Management, the first
hospice management company in the United States. American Hospice Management
provided management services to fifteen hospice organizations.
Rosen spent twelve years as Vice President of Planning and Operations for
Methodist Medical Center in Jacksonville, Florida, where he conducted all
planning and corporate development activities for the health system’s general
hospital, substance abuse hospital, skilled nursing facility, hospice, home
health agency, reference laboratory, ambulatory surgery center, educational
center, occupational medicine clinic, intravenous therapy provider and durable
medical equipment company.
Rosen also was Chair of the Licensure and Reimbursement Committee that was
involved in the legislative effort which resulted in the passage of Medicare
hospice coverage. Rosen has also held other administrative positions in home
health agencies.
Rosen attended the University of California, Los Angeles and the University of
California, Berkley before graduating with a Masters of Science in Allied Health
– Health Care Administration from the University of North Florida.
Fred T. Brown – Director, Secretary
Fred Brown is managing Director of Business Development for Carolinas HealthCare
in Charlotte, NC. Previously, Brown served as managing principal for Pershing,
Yoakley and Associates, one of the largest dedicated health care consulting
practices in the Southeast. He also served as executive vice president of Novant
Health, responsible for supporting growth of the hospital, physician and managed
care network, and development of business relationships with hospitals, managed
care organizations and other healthcare systems.
Earlier in his career, Brown established a regional office for VHA, a large
health care cooperative, and served as president and chief executive officer of
the Carolinas-Tennessee Regional Healthcare System for 11 years. Prior to this,
he had more than 14 years experience in roles as administrator, executive vice
president and chief operating officer of acute care community hospitals,
regional referral center hospitals and academic medical centers.
Brown recently retired as Colonel in the North Carolina Air National Guard after
31 years of active duty and reserve military service. His decorations include
the Legion of Merit, the Bronze Star and the Meritorious Service medal. His
professional affiliations include serving as a fellow of the American College of
Healthcare Executives; member of the American Hospital Association; secretary of
the board of directors of The Long Term Care The Continuums Group; adjunct
professor at the School of Public Health at the University of North Carolina at
Chapel Hill; and president, board of directors, UNC School of Public Health
Foundation.
Felix Fraraccio – Director
Mr. Fraraccio has an extensive background in acute and long term care. Fraraccio
served as Executive Vice President, Long Term Care and Mental Health Services
for MediCorp Health System in Fredericksburg Virginia until he retired in 2005.
As Executive Vice President, Fraraccio was responsible for the development and
management of two nursing homes, an assisted living community, a retirement
community, a hospice program and two home health agencies, as well as the
rehabilitation and senior care programs. Fraraccio also was responsible for the
management of a 40 bed psychiatric hospital and a twenty-five member psychiatric
practice.
Prior to joining MediCorp, Fraraccio was the Administrator at Abbeville General
Hospital in Abbeville, Louisiana, and an Administrator at R.J. Reynolds-Patrick
County Memorial Hospital in Stuart, Virginia. Fraraccio is a past member of the
Virginia Hospital Association Board of Directors and was Chairman of the
Virginia Hospital Employees Benefits Trust. He is a former Member of the House
of Delegates, the Regional Policy Board and Governing Council for Small or Rural
Hospitals of the American Hospital Association.
Dr. Paul Sanders – Director
Dr. Sanders serves as the corporate medical director for Benedictine Health
Systems, Long Term Care Division, a company managing more than 70 long-term and
acute care facilities in the Upper Midwest. He also serves as a director of the
Living Services Foundation.
In May 2003, Sanders retired after 13 years as the Chief Executive Officer of
the Minnesota Medical Association and currently provides management and
consulting services to a number of Midwest healthcare organizations.
Until recently, Sanders chaired the Board of Trustees of Bethel College &
Seminary and was the president of the Shepherd’s Foundation, an international
mission providing leadership and educational training in health care to the
developing country of Ukraine. He currently chairs the READ Foundation providing
library services to churches in the former USSR.
Sherry Wheaton – Director
Sherry Wheaton practiced medicine in Ohio for twenty years. Graduating from Ohio
University Summa Cum Laude, she was in the first graduating class of Wright
State University’s School of Medicine. In the mid-1980’s Sherry was on a
visiting Fellowship at Duke University for the study of aging and human
development, then started Senior Care at Miami Valley Hospital while at the same
time starting a private practice in geriatric medicine.
In the early 1990’s Sherry became “Doctor Sherry” on WHIO-TV, the CBS affiliate
in Dayton, Ohio, where she educated the consumer public daily on healthcare
matters of importance. She continued her geriatric medical practice throughout
the 90’s, guiding and caring for older area residents and their families. During
this period she was selected as one of the Dayton Daily News’ Top Ten Women,
received one of the YWCA Career Women of the Year Awards, and received the
Founders Award from the Miami Valley Chapter of the Alzheimer’s Association.
Recently, Wheaton became an instructor in Nia, a dance practice that encompasses
martial arts, dance arts and healing arts; she is a Blue Belt Nia instructor in
Santa Fe.
David Stewart – Chief Executive Officer
Mr. Stewart has extensive background in acquisition, development, financing and
operation of senior living properties. Most recently Mr. Stewart served as
Senior Vice President and President of the Senior Living Division of Provident
Foundation Inc., a nonprofit organization Mr. Stewart co-founded in 1999.
Stewart was a member of Provident’s senior management committee that directed
the Corporation’s management activities. In addition, as President of the Senior
Living Division, Stewart was responsible for the day-to-day operations of five facilities
with over 700 beds and 550 employees. Prior to joining Provident, Stewart was
Vice President of Capital Services at Diversified Health Services (“DHS”), a
manager and developer of senior living properties. Diversified Health Services
was the tenth largest operator of nursing homes in the United States. While at
DHS, Stewart was responsible for the acquisition, development and financing of
skilled nursing and senior housing properties. In addition, he provided
consulting, financial feasibility and certificate of need services to hospital
and not-for-profit clients focused on developing, expanding or enhancing the
delivery of their senior living services.
Prior to joining Diversified Health Services, Stewart was an accountant for the
public accounting firm of BDO Seidman where he was a member of their health care
team which focused on providing professional accounting services to hospitals,
clinics, and nursing home clients. Stewart also provided audit and tax services
to manufacturing, non profit, and retail clients.
Mr. Stewart graduated Magna Cum Laude from the University of Memphis with a BA
in Accounting. Stewart is a Certified Public Accountant (inactive) in the state
of Tennessee. He is an Internship Preceptor and on the Speakers Bureau for
Western Kentucky University, Health Care Administration program.
